Agreement
These Terms of Service (the “Terms”) are a binding agreement between you and Hubbub Events LLC, a Michigan limited liability company (“Hubbub,” “we,” “us,” “our”), and they govern your use of the Hubbub website and related services (the “Service”). By using Hubbub, you agree to these Terms. If you don't agree, please don't use Hubbub.
Please read Section 9 (Disclaimers), Section 10 (Limitation of Liability), and Section 16 (Dispute Resolution and Arbitration) closely. They affect your legal rights, including how disputes get resolved, and they include a waiver of jury trials and class actions.
1. What Hubbub is, and isn't
Hubbub is a local event discovery board. We help people find events happening near them, and we let approved venues and organizers ("hosts") post their events so locals can find them. Hubbub is a directory and discovery service. We are not the organizer, promoter, sponsor, or operator of any event listed, and we do not sell tickets, run door sales, process event payments, or manage events. Any ticketing, registration, or payment happens on a host's own third-party site that we may link to. Listings come from hosts, and Hubbub does not verify, endorse, or guarantee the accuracy, safety, legality, quality, or occurrence of any event.
2. Who can use Hubbub
You must be at least 13 years old to use Hubbub. We ask your date of birth at sign-in and don't knowingly create accounts for anyone under 13. Some features, like letting friends see the events you RSVP to, are limited to accounts 18 and older. If you're between 13 and 18, use Hubbub only with the involvement and consent of a parent or legal guardian. If you use Hubbub for a venue, business, or organization, you represent that you're authorized to act on its behalf, and "you" includes that organization.
3. Your account
There are two kinds of account: viewers, who browse and RSVP, and hosts, who also post events. You sign in with Google. You're responsible for the activity under your account and for keeping your sign-in secure. Tell us promptly if you believe your account has been compromised. You may delete your account at any time.
4. Host accounts and posting events
Host access is granted by us, on request, and we may verify a host before approving them. If you're a host: you may post only events you actually run or are authorized to promote; your listings must be accurate and not misleading; and you are solely responsible for your events, including their accuracy, safety, permits, cancellations, refunds, and everything that happens at them. Keep your listings current, and update or remove events that change or cancel. We may pause or revoke host access at any time, including for inaccurate listings, policy violations, or repeated issues.
5. Your content, and the license you give us
"Your Content" means anything you submit to Hubbub, including event titles, descriptions, images, venue details, and other materials. You keep ownership of Your Content. You grant Hubbub a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (for formatting and display), publish, publicly display, and distribute Your Content in order to operate, promote, and improve the Service. That includes showing event listings across Hubbub, in search results, in shared links and their previews, and in related promotional materials. You represent that you have all rights necessary to grant this license, and that Your Content doesn't infringe anyone's rights or break the law. This license ends when you remove Your Content or delete your account, except for copies kept in routine backups for a limited time or as the law requires, and except for anything others have already shared.
6. Acceptable use and community rules
Hubbub is a curated, all-ages board. Don't post or do any of the following: adult, sexual, or NSFW content; anything illegal, dangerous, hateful, or harassing, or that targets a protected group; misleading, fraudulent, or spam listings; events you don't have the right to post; content that infringes intellectual property or privacy; malware, or attempts to breach, overload, scrape, or reverse-engineer the Service; impersonation of any person or organization; or misuse of the invite and friend features to harass or deceive. Use Hubbub in good faith and within the law.
7. Moderation and removal
We may review, hide, format, or remove any content, and we may limit, suspend, or terminate any account or host, at our discretion, with or without notice, including to keep Hubbub safe, all-ages, accurate, and lawful. We're not obligated to monitor content, but we may.
8. Third-party events, links, and services
Events, venues, ticketing pages, maps, and other links may take you to third-party sites and services we don't control. We're not responsible for those sites, their content, their terms, or your dealings with them. Any ticketing or payment is strictly between you and the host or their provider. If we ever add optional ticketing, rideshare, or similar features, they'll be hand-offs you choose to use.
9. Disclaimers
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting that: Hubbub does not organize, run, endorse, or guarantee any event, and is not responsible for the accuracy, availability, safety, legality, cancellation, or conduct of any event, host, venue, or attendee. You attend events and interact with hosts and other people at your own risk. We don't warrant that the Service will be uninterrupted, secure, or error-free, or that listings are accurate or current. Some places don't allow certain warranty exclusions, so parts of this section may not apply to you.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUBBUB AND ITS OWNERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, ANY EVENT, OR ANY THIRD PARTY, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUBBUB'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some places don't allow certain limitations, so parts of this section may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless Hubbub and its owners, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or relating to: Your Content; your events, if you're a host; your use of the Service; your violation of these Terms or any law; or your infringement of anyone's rights. Hosts especially: you're responsible for your events and for any claim arising from them.
12. Friends and connections
You add friends by sharing your personal invite link; whoever opens it connects with you. There's no way to search for people, so you only connect with those you give your link to, and you're responsible for who that is. Letting friends see the events you RSVP to is off by default, and it isn't available for accounts under 18. Either friend can remove the connection at any time, and so can we.
13. Copyright and takedowns
We respect intellectual property, and we expect you to as well. If you believe content on Hubbub infringes your copyright, email support@hubbub.events with: your contact information; identification of the work; identification of the material and where it appears on Hubbub; a statement that you have a good-faith belief the use isn't authorized; a statement, under penalty of perjury, that your notice is accurate and you're authorized to act; and your signature. We may remove infringing content and terminate repeat infringers.
14. Termination
You may stop using Hubbub and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, including for violations of these Terms. Sections that by their nature should survive, including the content license for anything already shared, the disclaimers, the limitation of liability, indemnification, and dispute resolution, survive termination.
15. Governing law and venue
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. Subject to Section 16, the state and federal courts located in Kent County, Michigan have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to that jurisdiction and venue.
16. Dispute resolution, arbitration, and class-action waiver
Please read this carefully. It affects your rights.
Talk to us first. Before filing anything, contact us at support@hubbub.events and give us 30 days to try to resolve it.
Binding arbitration. If we can't resolve it, you and Hubbub agree that any dispute arising from or relating to these Terms or the Service will be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its consumer arbitration rules, rather than in court, except as noted below. Arbitration will be held in Kent County, Michigan, or by phone or video, or wherever else you both agree. Judgment on the award may be entered in any court with jurisdiction.
Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for intellectual-property or unauthorized-access claims.
Class-action waiver. You and Hubbub agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
30-day opt-out. You can opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@hubbub.events with your name and a statement that you opt out. If you opt out, Section 15 governs instead.
If any part of this section is unenforceable, the rest still applies, except that if the class-action waiver is found unenforceable, this entire arbitration section will not apply.
17. Changes to these Terms
We may update these Terms as Hubbub grows. If we make material changes, we'll note them, for example by updating the "last updated" date and, where appropriate, giving notice. Continuing to use Hubbub after an update means you accept the revised Terms.
18. General
These Terms are the entire agreement between you and Hubbub about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a provision isn't a waiver of it. You may not assign these Terms; we may assign them to an affiliate or successor. Nothing here creates a partnership, agency, or employment relationship.
